1. Agreement to these Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement of a parent or legal guardian.

2. The Service

Audestra is a personal music distribution platform. Artists and organizations publish catalogs and invite the listeners they choose. Access to a catalog is limited to listeners who join through the artist’s Audestra page or invitation. The Service includes:

• Studio: a workspace for artists and organizations to upload, manage, publish, and analyze tracks, releases, and playlists, and to invite listeners through join links and QR codes.
• Listener apps and website: private listening spaces where invited listeners can join an artist, stream available catalog content, and use supported features such as playlists and offline playback.
• Supporting infrastructure such as account authentication, notifications, and analytics that make the above possible.

3. Accounts and Security

Access to the Service is authenticated using an email address and a one-time verification code, and may optionally be secured with a passkey. Listeners may also use a phone number for account replacement and recovery. You are responsible for maintaining the confidentiality of any verification codes sent to you and for all activity that occurs through your account.

Your account is personal to you. You may sign in and use the Service on multiple devices that you own or control. You may not share your account with family members or any other person, and you may not give anyone else your verification codes, passkeys, recovery information, or other means of access. Each person who uses the Service must create and use their own account. Sharing an account is a violation of these Terms and may result in suspension or termination.

Notify us promptly at audestra@ajilus.com if you suspect unauthorized use of your account or a security incident. We may suspend or lock an account to investigate suspected unauthorized access or abuse.

You are responsible for keeping your email address current so that you can receive verification codes and important notices about the Service.

4. User Content and Licensing

Artists and organizations who upload tracks, artwork, lyrics, biographies, or other material ("Artist Content") retain all ownership rights in that Artist Content. Listeners and other users may also submit material such as display names, photos, and playlists. Artist Content and all other material you submit, post, or otherwise make available through the Service are together "User Content".

Artist Content licensing is governed by the separate Artist Agreement that an artist expressly accepts. These Terms do not grant a general license to your recordings or compositions and do not transfer ownership. Other User Content is licensed to Audestra only as reasonably necessary to display and operate the features through which you provide it. You must have the rights and permissions necessary for every use you enable.

You represent and warrant that you own or control all necessary rights to the User Content you submit, that it does not infringe any third party's intellectual property or other rights, and that you have the right to grant any license these Terms require.

We may, in our sole discretion, review, refuse, remove, disable, hide, or otherwise restrict access to any User Content at any time, for any reason, including if we deem it inappropriate, offensive, harmful, unlawful, infringing, or otherwise unsuitable for the Service. We may take these actions with or without prior notice and without liability to you, and we may also suspend a profile or terminate an account in connection with User Content. We have no obligation to monitor the Service or to give reasons for a removal decision.

5. Plans and Payments

Audestra currently provides personal music distribution and private catalog access. Joining an artist is a follow relationship that allows access to content the artist makes available; it is not a purchase or transfer of ownership of recordings. Any optional paid plan, payment, or artist support feature will be governed by the terms and price shown before you choose it. No paid membership or payment is required unless you separately accept an offer that states otherwise.

If Audestra offers a paid feature, its price, billing period, cancellation terms, and included features will be shown before purchase. Any changes to an existing paid offer will be handled as required by applicable law and the terms accepted for that offer.

6. Acceptable Use

When using the Service, you agree not to:

• Upload or share content you do not have the rights to distribute, or that is unlawful, defamatory, or infringing.
• Upload or share content that we deem, in our sole discretion, inappropriate, offensive, harmful, or otherwise unsuitable for the Service.
• Share your account with family members or any other person, or provide anyone else with your verification codes, passkeys, or other means of access.
• Attempt to circumvent authentication, access controls, download entitlements, or rate limits.
• Scrape, reverse engineer, or use automated means to access the Service outside of documented, authorized interfaces.
• Interfere with the Service's operation, introduce malware, or disrupt other users' access.
• Use the Service to harass, impersonate, or misrepresent your affiliation with any person or organization.

7. Offline Downloads

The listener applications may make catalog content available for offline playback within an allotted device storage amount. Downloaded content remains subject to your account's entitlement to it; if content is withdrawn, your access changes, or the offline permission expires, downloaded copies may be invalidated and become unplayable.

Downloaded content is licensed for your personal, non-commercial use on devices you control and may not be extracted, redistributed, or shared.

8. Copyright

If you believe Artist Content infringes your copyright, you may report it from the relevant catalog screen when that feature is available, or send a complaint to audestra@ajilus.com. This is a general complaint contact, not a registered DMCA designated agent. We review reports and may restrict or remove material while assessing them. Include your contact information, the work and Audestra URL, your basis for the claim, and information showing your authority. A complaint alone does not establish infringement or guarantee restoration.

9. Intellectual Property

Other than User Content, the Service, including its software, design, trademarks, and the Audestra name and logo, is owned by Ajilus LLC or its licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written permission.

10. Third-Party Services

The Service relies on third-party infrastructure providers (for example, cloud hosting and email delivery) to operate. Our Privacy Policy describes how information is shared with those providers.

11. Termination

You may stop using the Service at any time. Signed-in listeners can delete their account from Profile in the iOS app or the Android app. Instructions that do not require sign-in are published at https://audestra.com/delete-account.html. You may also request deletion by contacting us at audestra@ajilus.com.

We may suspend or terminate access to the Service, in whole or in part, at any time and in our sole discretion, including for violation of these Terms, User Content we deem inappropriate, suspected fraud or abuse, or as needed to comply with law.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AJILUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Ajilus LLC from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, or your violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Iowa, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Iowa, and you consent to personal jurisdiction there.

16. Changes to these Terms

We may update these Terms from time to time. We will update the effective date above and, for material changes, provide reasonable notice through the Service. Where required, we will seek your acceptance of material changes before applying them to your continued use. Continued use alone does not replace an express acceptance required for a separate artist agreement.
